Voir en français1. Acceptance of Terms
By accessing or using the Tudius platform (the “Platform”), operated by Tudius Inc. (“we,” “us,” “our,” or the “Company”), you (“you” or “User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Platform.
These Terms constitute a legally binding agreement between you and Tudius Inc., formed upon your creation of an account or your use of the Platform.
For Quebec residents: These Terms comply with the Quebec Civil Code (art. 1385-1387) regarding contract formation, and with consumer protection legislation for contracts entered into remotely.
2. Eligibility and Age Requirements
Note: Age verification features described in this section are being implemented and will be active before the Platform accepts its first user. This document reflects the Platform's intended privacy practices at launch.
2.1 General Eligibility
You must meet the following requirements to use the Platform:
- Be at least 13 years of age (see Section 2.2 for minor requirements)
- Provide accurate and complete registration information
- Maintain the security of your account credentials
2.2 Age-Based Access Tiers

2.3 Users Under 13
This Platform is not available to children under 13 years of age. We do not knowingly collect personal information from children under 13 in compliance with the Children's Online Privacy Protection Act (COPPA, 15 U.S.C. ss 6501-6506; 16 C.F.R. Part 312, as amended). If we discover that a user is under 13, we will terminate their account and delete all associated personal information immediately.
2.4 Parental Consent for Users Aged 13-17
If you are between 13 and 17 years old:
- You must provide a parent or guardian's email address during registration
- Your parent or guardian must provide verified consent before your account is activated
- Your parent or guardian may review your account information, revoke consent, and request account deletion at any time
- You represent and warrant that you have your parent or guardian's permission to use this Platform
- Academy features: (NEW) Your parent or guardian must provide separate consent for each academy feature (progress reports, automated reminders, analytics) before academic data about you is collected or shared. See our Privacy Policy Section 5.2 for details
2.5 Age Representation
By creating an account, you represent and warrant that:
- The age information you provide is accurate
- If you are under 18, you have obtained the required parental or guardian consent
- You understand that misrepresenting your age may result in account termination
3. Account Registration and Security
3.1 Account Creation
To use the Platform, you must register for an account by providing:
- A valid email address
- A secure password
- Your role (student or tutor)
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately at privacy@tudius.com if you suspect unauthorized access to your account
We implement security measures including HTTP-only session cookies, encryption, and Row-Level Security to protect your account. However, no system is completely secure, and we cannot guarantee absolute security.
3.3 One Account Per User
Each individual may maintain only one account. Creating multiple accounts to circumvent Platform rules, manipulate rankings, or gain unfair advantage is a violation of these Terms and grounds for termination.
4. Platform Description and User Roles SUBSTANTIALLY REVISED
4.1 Platform Description REVISED
Tudius Inc. operates a tutoring management platform — branded as “Automated Personal Academy” — that provides tutors with technology tools to manage their independent tutoring practice and connects students with tutors. The Platform offers:
- Tutor discovery and matching: Students can search for and connect with tutors by subject, location, and availability
- Scheduling and booking management: Automated booking, recurring sessions, and cancellation processing
- Payment processing: Subscription billing for tutors and session payments from students via Stripe
- Academy management tools (NEW): Lesson planning, assignment tracking, progress monitoring, automated reporting to parents, session notes, and calendar integration
- Identity verification (NEW — v3): Optional identity confirmation for tutors and students. Users who complete identity verification receive an “Identity Confirmed” designation on their profile, indicating that the individual has submitted government-issued photo identification that has been verified. This designation is NOT a background check, endorsement, credential verification, or safety guarantee by Tudius Inc. See Section 17 for full details
- Employ, supervise, or control tutors
- Guarantee the quality, safety, or legality of tutoring services
- Set tutoring rates (tutors set their own rates)
- Endorse or recommend specific tutors
- Provide instruction or educational content
- Issue certificates, diplomas, academic credentials, or official academic records
- Assess, evaluate, or certify student academic performance
- Replace or supplement formal educational programs offered by schools
The word “Academy” in our branding describes the comprehensive nature of our technology tools, not an educational institution.
4.2 Tutor Obligations EXPANDED
Tutors using the Platform agree to:
- Provide accurate and truthful profile information, including qualifications and subjects
- Set fair and transparent rates per 30-minute session
- Honour confirmed bookings or provide timely cancellation
- Comply with all applicable laws, including tax reporting obligations
- Maintain professional conduct in all interactions with students
- Complete Stripe Connect onboarding for payment processing
- Review automated progress reports (NEW): When academy features are activated, review and approve all automated progress reports before they are sent to parents or students. Tutors are responsible for verifying the accuracy of report content (see Section 18)
- Ensure accuracy of academic data (NEW): Enter accurate and up-to-date lesson plans, assignment records, grades, and session notes. Inaccurate data may result in misleading progress reports
- Maintain lesson plan records (NEW): Keep lesson plans current for active tutoring relationships to support progress tracking and reporting
Tutors acknowledge that they are independent service providers, not employees of Tudius Inc.1 Tutors are solely responsible for their own tax obligations, including reporting income to the Canada Revenue Agency or applicable tax authority.

4.3 Student Obligations EXPANDED
Students using the Platform agree to:
- Provide accurate profile information
- Pay for booked sessions through the Platform's payment system
- Honour confirmed bookings or provide timely cancellation per the cancellation policy
- Provide honest and fair reviews based on genuine tutoring experiences
- Report any concerns about tutor conduct to Tudius Inc.
- Acknowledge report nature (NEW): Understand that automated progress reports are generated from tutor-entered data and automated tracking, and do NOT constitute official academic assessments, transcripts, or credentials
- Provide accurate feedback (NEW): When using academy features, provide accurate information about assignment completion and session attendance to support progress tracking
5. Subscription and Payment Terms
5.1 Tutor Subscriptions
Tutors pay a subscription fee to access Platform management tools. The subscription model is:

Subscription pricing is set at approximately 1% of the tutor's average earnings — significantly lower than the 40% commission typically charged by tutoring academies. Academy management tools (lesson planning, progress tracking, automated reporting) are included in all subscription tiers.
(a) Subscriptions are billed on a recurring basis (monthly or annually, as selected by you) via Stripe Billing. Current pricing is displayed on the Platform at the time of subscription.
(b) AUTOMATIC RENEWAL: Your subscription will automatically renew at the end of each billing period at the then-current price for your tier, unless you cancel before the renewal date. If you subscribed during a promotional or free trial period, your subscription will automatically convert to a paid subscription at the applicable tier price when the trial period ends.
(c) PRE-RENEWAL NOTICE: We will send you an email reminder before your subscription renews or your trial period ends. This notice will include the renewal date, the amount to be charged, and instructions on how to cancel.
(d) CANCELLATION: You may cancel your subscription at any time through the subscription management page on the Platform or by contacting us. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Platform until the end of the period for which you have already paid. No refunds will be issued for partial billing periods.
(e) TRIAL PERIODS: If you receive a free trial or promotional offer, the specific terms (including duration and any applicable coupon) will be disclosed at the time of subscription. At the end of the trial period, your payment method will be charged the applicable subscription price unless you cancel before the trial ends.
5.2 Student Payments
Students pay tutors for lessons through Stripe Checkout. Payments are processed as follows:
- Recurring lessons: Billed monthly for the scheduled sessions
- Short-term lessons: Billed per session at the time of booking
- Trial lessons: Billed per session at the tutor's posted rate
All payment amounts are calculated based on the tutor's rate per 30-minute session multiplied by the session duration.
5.3 Payment Processing
All payments are processed by Stripe Inc. By using the Platform's payment features, you also agree to Stripe's terms of service. Tudius Inc. does not handle, store, or have access to your payment card information.
Service fee. Tutors receive 100% of their listed tutor rate. A 5% platform service fee applies at Credit top-up and is shown in the checkout UI breakdown. Direct card payment for individual bookings is currently fee-free while we migrate all payment paths to the unified 5% structure; see Section 5.7 Merchant of Record for details on platform role. Tudius is the merchant of record for Credit top-ups; direct card payments are processed via Stripe Connect directly to the tutor's account. Our revenue comes from the service fee on Credit top-ups plus tutor subscriptions.
Tutor payouts are processed through Stripe Connect. Tudius Inc. distributes the tutor's portion of the payment via monthly transfers (see Section 5.6).
5.4 Currency
Payments are processed in the currency set by the tutor on their profile. Exchange rates, if applicable, are determined by Stripe.
5.5 Refunds
Refund policies are as follows:
- Tutor subscriptions: Non-refundable for the current billing period. You may cancel your subscription to prevent future charges.
- Lesson payments: Refund eligibility is determined by the cancellation policy (Section 6).
5.6 Monthly Student-Tutor Billing (NEW — v3)
Tudius Inc. offers a monthly billing arrangement between students and tutors. This section governs recurring monthly billing for tutoring services.
- Billing structure: Monthly billing is structured as a fixed number of sessions per month, billed monthly on a recurring basis ("X sessions/month, billed monthly"). The specific number of sessions and monthly rate are agreed upon between the student and tutor at the time of subscription.
- Auto-renewal disclosure: Monthly billing subscriptions automatically renew at the end of each billing cycle unless cancelled. In accordance with the Ontario Consumer Protection Act, 2002, O. Reg. 17/05 s. 42, you will receive clear disclosure of (a) the subscription price, (b) billing cycle, (c) renewal date, and (d) cancellation method at the point of subscription and in each billing confirmation.
- Pre-renewal notification: You will receive a notification at least 7 days before each billing cycle renewal, reminding you of the upcoming charge and providing a link to cancel if desired.
- Cancellation: You may cancel your monthly billing subscription at any time. Cancellation takes effect at the end of the current billing period — you retain access to your remaining sessions within the paid period (cancel-at-period-end pattern). No further charges will be applied after cancellation.
- Cancellation notice period: The cancellation notice period is set by the tutor, with a platform-enforced maximum of 30 days, in compliance with the Ontario Consumer Protection Act, 2002, ss. 92-94.
- Pro-rata refund: Upon cancellation, you are entitled to a pro-rata refund for unused sessions within the current billing period, calculated based on the number of sessions remaining versus the total sessions in the billing cycle.
- Parent/guardian billing for minors: Students aged 13-17 cannot enter monthly billing agreements directly. Monthly billing for tutoring services for minor students must be authorized and paid by a parent or guardian. This reflects that minors cannot enter recurring financial contracts under the Ontario Age of Majority and Accountability Act (R.S.O. 1990, c. A.7).
- 7-day cancellation right: In accordance with the Ontario Consumer Protection Act, 2002, s. 40(1), you have the right to cancel an internet agreement within 7 days after receiving a copy of the contract, if the supplier failed to disclose the required information or provide an express opportunity to accept or correct errors before entering into the contract(s. 38). If all required disclosures are provided and express checkout UX is honored (via Stripe Checkout), this 7-day window does not automatically trigger. This right applies in addition to any cancellation rights described above.
- Quebec service contract termination: Residents of Quebec retain the right to terminate a service contract at any time under the Civil Code of Québec, art. 2125. Quebec Consumer Protection Act, s. 11 internet agreement disclosure requirements also apply.
5.7 Merchant of Record
Tudius Inc. acts as the Merchant of Record for Credit top-up transactions on the Platform. For direct card payments to individual tutors (currently fee-free during the payment-path migration), Stripe Connect processes payments directly to the tutor's account and Tudius acts as the platform facilitator. Once the unified 5% structure is complete (see Section 5.3), Tudius will act as the Merchant of Record for all student transactions. This means:
- Receipts: Payment receipts and invoices are issued by Tudius Inc. for Credit top-ups; direct card payments currently receive receipts issued by Stripe on behalf of the tutor.
- Refunds & disputes: All refund requests, chargebacks, and payment disputes for Credit top-ups are handled directly by Tudius Inc. Direct card payment disputes involve Stripe Connect's escalation process.
- Tax compliance: Where applicable, Tudius Inc. is responsible for collecting and remitting applicable taxes (GST/HST/QST) on Credit top-up transactions. Direct card payment tax obligations currently flow to the individual tutor.
- Consumer protection: As the Merchant of Record for Credit top-ups, Tudius Inc. is the contracting party for purposes of applicable consumer protection laws (Ontario CPA 2002, Alta Reg 81/2001, Quebec Consumer Protection Act). Direct card payment contractual relationships are between the student and individual tutor via Stripe Connect.
Tutors provide tutoring services through the Platform. Tudius Inc. distributes the tutor's portion of Credit-funded payments via monthly transfers (see Section 5.6 Monthly Student-Tutor Billing).
6. Booking and Cancellation Policy
6.1 Booking Types

6.2 Booking Confirmation
A booking is confirmed when payment is successfully processed through Stripe Checkout. Upon confirmation, the time slot is marked as unavailable for other students. For recurring bookings, the time slot is reserved for all future scheduled sessions.
6.3 Cancellation Policy

Monthly Billing Cancellation (NEW — v3):
For monthly billing arrangements (Section 5.6), the cancellation notice period is set by the tutor, with a platform-enforced maximum of 30 days (Ontario Consumer Protection Act, 2002, ss. 92-94). Cancellation takes effect at the end of the current billing period — the student retains access to remaining sessions within the paid period. Pro-rata refund is available for unused sessions. The 7-day cancellation right under Ontario CPA s. 40(1) also applies to monthly billing internet agreements.
6.4 Cancellation Process
To cancel a booking:
- Navigate to the booking in your dashboard
- Select “Request Cancellation”
- The system will verify the notice period requirement
- If the notice period is met, cancellation is scheduled
- If the notice period is not met, you will be informed of the earliest possible cancellation date
6.5 Tutor Cancellations
Tutors may cancel bookings by contacting the student and Tudius Inc. Repeated cancellations by a tutor may result in account review and potential restrictions.
6.6 Immutable Booking Terms
Once a booking is confirmed, the following terms cannot be modified:
- Student and tutor assignment
- Booking type (recurring, short-term, trial)
- Rate per 30-minute session
This ensures pricing transparency and prevents post-booking rate changes.
6.7 Booking and Academy Features NEW
When academy features are activated for a booking:
- Lesson plans may be associated with scheduled sessions
- Session attendance is tracked for progress reporting purposes
- Session rescheduling follows the same notice period requirements as cancellation
- Cancelling a booking does not automatically delete associated academic data — see our Privacy Policy Section 7 for retention periods
7. Reviews and Rankings
7.1 Review Submission
Students may submit one review per tutor. Reviews include:
- A star rating (1-5)
- An optional written comment
By submitting a review, you acknowledge that:
- Your review will be publicly visible on the tutor's profile page
- Your display name will appear alongside your review
- Reviews must reflect your genuine experience
- You grant Tudius Inc. a perpetual, non-exclusive license to display your review on the Platform (see Section 8)
7.2 Review Standards
Reviews must comply with the following standards. Reviews that violate these standards may be removed:
- Must be based on an actual tutoring experience
- Must not contain false or misleading statements
- Must not contain hate speech, harassment, threats, or discriminatory content
- Must not contain personal information of others (phone numbers, addresses, etc.)
- Must not contain spam, advertising, or promotional content
- Must not violate any applicable law
7.3 Ranking System
Tutor rankings are calculated automatically based on average review rating and number of reviews received (weighted logarithmically). Rankings are subject-specific and determine the order of tutor search results. The ranking formula and your rights regarding automated decisions are described in our Privacy Policy (Section 11).
Tutors may request a human review of their ranking through the complaint mechanism described in the Privacy Policy.
7.4 Review Modification and Deletion
Students may update or delete their own reviews at any time. Deleted reviews are permanently removed and the tutor's ranking is recalculated.
7.5 Tutor Response Right (NEW — v3)
Tutors may post one response to each review they receive. Tutor responses are publicly visible alongside the original review. Tutor responses must comply with the same content standards described in Section 7.2 (Review Standards).
Tutors may flag reviews for removal by Tudius Inc. based on the criteria in Section 7.2. Tudius Inc. will review flagged reviews and may remove them if they violate the stated standards. Flagging a review does not guarantee its removal.
8. Intellectual Property
8.1 Platform Content
All Platform content, features, functionality, design, and branding (excluding User Content) are the property of Tudius Inc. and are protected by Canadian and international copyright, trademark, and intellectual property laws. You may not copy, modify, distribute, or create derivative works from Platform content without our express written permission.
8.2 User Content License
By submitting content to the Platform (including profile information, reviews, photos, and biographical text), you grant Tudius Inc. a worldwide, non-exclusive, royalty-free, sublicensable license to display, use, cache, and index your content for Platform services. This license terminates when you delete the content or your account, except for reviews that may be anonymized and records required for financial compliance.
8.3 Academic Content NEW
Tutor-created academic content (lesson plans, session notes) is created by tutors for the benefit of their students. Tutors retain ownership of lesson plan content they create. By entering academic content on the Platform, tutors grant Tudius Inc. a limited license to store, display to authorized users, include in automated progress reports (with tutor approval), and process for data export requests.
Student academic data (assignment completion, grades) is personal information governed by our Privacy Policy. Students (or parents of minors) retain rights to access, correct, export, and delete this data as described in the Privacy Policy.
8.4 Your Rights to Your Content
You retain ownership of all content you submit. You represent and warrant that you own or have the right to use any content you submit, and that your content does not infringe on any third party's rights.
9. Acceptable Use Policy
You agree NOT to use the Platform to:
- Violate any law or regulation, including but not limited to PIPEDA, Quebec Law 25, COPPA, CASL, or any applicable provincial or federal legislation
- Harass, threaten, or intimidate other users
- Submit false or misleading information in profiles, reviews, bookings, or academic data
- Manipulate rankings through fake reviews, multiple accounts, or coordinated inauthentic behaviour
- Scrape or harvest data from the Platform using automated tools
- Interfere with the Platform's operation, including attempting to bypass security measures, Row-Level Security policies, or authentication mechanisms
- Share your account credentials or allow others to access your account
- Circumvent payment systems by arranging off-platform payments after connecting through the Platform
- Upload malicious content, including malware, viruses, or code designed to disrupt the Platform
- Engage in discrimination against tutors or students based on race, ethnicity, religion, gender, sexual orientation, disability, or any protected characteristic
- Enter deliberately false academic data (NEW) to manipulate progress reports or misrepresent student performance
- Access another user's academic data (NEW) without authorization (only the creating tutor, enrolled student, and verified parent/guardian may access academic data)
Violations may result in account suspension, termination, or legal action.
10. Advertisements
10.1 Tutor Advertisements
Tutors may purchase advertising on the Platform to increase visibility. Advertisements are available only during the first 6 months after account creation, billed separately from tutor subscriptions via Stripe, subject to content standards, and marked as “Ad” or “Sponsored” to distinguish from organic content.
10.2 No Third-Party Advertising
The Platform does not display third-party advertisements. We do not sell advertising space to external entities. We do not use your personal information for targeted advertising by third parties. We do not display targeted advertising to users under 18 (COPPA, 16 C.F.R. s. 312.5, as amended).
11. Limitation of Liability
11.1 Platform Provided “As Is”
The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11.2 No Guarantee of Service Quality EXPANDED
Tudius Inc. does not guarantee:
- The quality, accuracy, or reliability of any tutoring services provided through the Platform
- The accuracy of tutor profiles, qualifications, or reviews
- The availability of the Platform at any given time
- That the Platform will be error-free or uninterrupted
- The accuracy of automated progress reports (NEW): Automated progress reports are generated from data entered by tutors and automated tracking systems. Tudius Inc. does not independently verify the accuracy of academic data entered by tutors. Parents and students should communicate directly with tutors for authoritative information about academic progress. Progress reports are informational tools, not official academic assessments
- The "Identity Confirmed" designation (NEW — v3): The "Identity Confirmed" designation on a tutor's profile indicates only that the tutor has submitted government-issued identification that has been verified. It is NOT a background check, endorsement, credential verification, safety guarantee, or recommendation by Tudius Inc. Tudius Inc. disclaims all liability arising from reliance on the "Identity Confirmed" designation
11.3 Limitation of Damages
To the maximum extent permitted by applicable law, in no event shall Tudius Inc. be liable for indirect, incidental, special, consequential, or punitive damages; loss of profits, data, business, or goodwill; damages arising from your use of or inability to use the Platform; damages arising from any tutoring relationship formed through the Platform; damages arising from reliance on automated progress reports (NEW) without independent verification with the tutor; or damages exceeding the total amount you have paid to Tudius Inc. in the 12 months preceding the claim.
11.4 Quebec Consumer Protection
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Quebec consumer protection legislation. For Quebec residents, any provision that would contravene the Quebec Consumer Protection Act (R.S.Q., c. P-40.1) is deemed modified to the minimum extent necessary to comply.
11.5 Indemnification
You agree to indemnify and hold harmless Tudius Inc., its officers, directors, and agents from and against any claims, damages, losses, costs, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, your violation of any applicable law, any content you submit, or any tutoring relationship in which you participate.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to contact Tudius Inc. at privacy@tudius.com to attempt to resolve the dispute informally. We will make good-faith efforts to resolve your concern within 30 days.
12.2 Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
12.3 Jurisdiction
Any legal proceedings arising from these Terms or your use of the Platform shall be brought exclusively in the courts of the Province of Ontario, located in Toronto.
12.4 Quebec Residents
Notwithstanding Section 12.2, for Quebec residents, any disputes may also be submitted to the courts of Quebec in accordance with Quebec consumer protection legislation. The Quebec Consumer Protection Act (R.S.Q., c. P-40.1) and the Quebec Civil Code apply to the extent they provide greater protection.
12.5 Class Action Waiver
To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, collective action, or representative proceeding. This waiver does not apply where prohibited by law, including in Quebec.
13. Account Termination
13.1 Termination by You
You may terminate your account at any time by using the account deletion feature in your dashboard settings or contacting us at privacy@tudius.com.
Upon account deletion:
- Your profile information will be permanently deleted within 30 days
- Active bookings will be cancelled per the cancellation policy
- Outstanding payments will be processed
- Booking and payment records will be anonymized and retained for 7 years (CRA requirements)
- Your reviews will be anonymized or deleted
- Academic data: (NEW) You will be offered the opportunity to export your academic data (lesson plans, assignments, grades, session notes, progress reports) before deletion. After the export window, academic data will be deleted per the retention schedule in our Privacy Policy Section 7
- Calendar sync: (NEW) Immediately disconnected and all sync data deleted
13.2 Termination by Tudius Inc.
We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, provide false information (including age misrepresentation), engage in fraudulent activity, we are required to do so by law, or your account poses a security risk.
